Please read these Terms of Use (“Terms”) carefully before using the services provided by HELVETAN . By accessing or using our AI-Integrated Educational Platform or engaging in our Specialized IT & AI Consultancy Services, you agree to be bound by these Terms.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and HELVETAN. If you do not agree with any part of these Terms, you may not use our services.

2. Scope of Services

A. EdTech Platform and Tutoring

These Terms govern your use of the AI-Driven Educational Platform, including access to courses, content, the AI-Powered Virtual Assistant, and AI-Enhanced Online Tutoring sessions.

  • License: HELVETAN grants you a limited, non-exclusive, non-transferable license to access and use the platform for your personal, non-commercial educational purposes only.
  • Content: All educational materials, including those created by our Educational Publishing & R&D division, are protected by copyright. You may not reproduce, redistribute, or create derivative works without explicit written permission.

B. Consultancy Services

These Terms apply to all agreements for IT and AI consultancy, custom computer programming activities, and Web portal development services provided to business clients (B2B).

  • Service Agreements: Specific service details, deliverables, fees, and timelines will be outlined in separate, written Service Agreements or Statements of Work (SOWs), which will supersede any conflicting terms herein.

3. User Accounts and Responsibilities

  • Eligibility: You must be at least 18 years old or have parental/guardian consent to use our EdTech services.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Prohibited Conduct: You agree not to misuse the platform, including introducing malicious software, attempting unauthorized access, or violating the academic integrity policy (e.g., using the platform to cheat).

4. Intellectual Property Rights (IP)

A. HELVETAN’s IP

All content, software, code, proprietary AI algorithms, trademarks, and original materials related to the AI-Integrated Educational Platform and our AI-Driven Solutions for Education are the exclusive property of HELVETAN.

  • Proprietary AI: You acknowledge that the core IP of HELVETAN resides in its unique AI Personalized and Adaptive Learning Experiences and predictive models. Unauthorized use or reverse-engineering is strictly prohibited.

B. Consultancy IP (Custom Deliverables)

  • Ownership Transfer: Unless explicitly stated otherwise in the governing SOW or Service Agreement, HELVETAN will transfer the necessary ownership rights to the custom code and deliverables created specifically for the client upon full and final payment.
  • Existing IP: HELVETAN retains ownership of all underlying tools, core AI models, methodologies, and reusable programming libraries (pre-existing IP) used to create the deliverables.

5. Fees, Billing, and Payment

  • EdTech: Services are billed on a subscription or per-session basis, as outlined on the payment page. All fees are non-refundable unless otherwise stated in a separate written policy.
  • Consultancy: Fees are governed by the specific SOW. Failure to make timely payments may result in the suspension or termination of services and the withholding of IP transfer.

6. Disclaimers and Limitation of Liability

  • Educational Warranty: HELVETAN provides the EdTech platform on an “as-is” basis and makes no guarantees regarding specific academic results or outcomes.
  • Consultancy Warranty: We warrant that consultancy services will be performed in a professional manner in accordance with the relevant SOW.
  • Limitation of Liability: To the maximum extent permitted by law, HELVETAN shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability shall be limited to the amount you paid for the services in the two (2) months preceding the claim.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where HELVETAN is officially registered, without regard to its conflict of law principles.

8. Changes to the Terms

HELVETAN reserves the right to modify or replace these Terms at any time. Your continued use of the services after such changes constitutes your acceptance of the new Terms.
